Ricardo Andrade Amaro


Ricardo Andrade Amaro joined the firm in 2002 and became partner in 2015. As head of a corporate team, Ricardo is a lawyer with great experience in corporate and M&A law, securities law, and energy law.

In M&A, Ricardo Andrade Amaro has been involved in most of the high-profile transactions advised by the firm over the last 15+ years, both at a domestic and international level, advising top domestic and international clients. He has acted as legal advisor in several mergers, restructuring, acquisitions and sales of companies, including among others the acquisition and sale of companies with head offices in Spain, the United States of America and Latin America. In the area of securities law, he has acted as legal advisor in the first and unique securitisation ever made in Portugal of tax and social security non-performing claims of the Portuguese Republic and on the setting up of the first synthetic securitisation in Portugal. He has acted as legal advisor in the setting up of the financing arrangements for the largest takeover bid ever made in Portugal. He has also acted as legal advisor in the setting up of several initial public offers, including the largest initial public offer ever made in Portugal, and also in the structuring of several public shares’ takeover bids.

In the area of capital markets, Ricardo has recently led the largest public offering of securities in Portugal in 2020 and an absolutely innovative accelerated bookbuilding process in the first quarter of 2021.He is very active in private equity. He acted as legal advisor in the setting up of the first private equity fund in Portugal exclusively dedicated to the recovery of companies (turn-around fund), which is currently the largest Portuguese private equity fund and is now going into liquidation, also assisted by Ricardo. Ricardo regularly acts as legal advisor in the setting up of and day-to-day regulatory advice to private equity funds. His experience also includes advising on several securitisation transactions (mortgage loans, consumer loans and small and medium size companies’ loans) and on the setting up of several offers for issues of medium terms notes (EMTN) in the international markets.

Ricardo has a rather strong reputation in the energy sector, due to his deep knowledge of its legislation and regulation. He advised most firsts of the sector: he was involved in the reorganisation process of the national energy sector, helped design and develop the renewables sector from its inception and acts as legal advisor in the setting up of several securitisations in Portugal of the right to receive the amounts arising from tariff adjustments.
