Diana Ribeiro Duarte

Senior Lawyer

Diana entered the firm as a young trainee in 2006. She is a member of the corporate and M&A team.

Her work in M&A and PE over the last years has included advising buyers and sellers in transactions in the following sectors: health, infrastructure, energy and financial services.

Her legal practice in these fields has focused increasingly on advising PE investors and M&A strategic players, from traditional buyout players (including “take privates”) and infrastructure funds, to pension funds, family offices, and other alternative asset managers, in private transactions (investments and exits), joint ventures and minority acquisitions.

In later stages, she has also been involved, in both the “buy” and the “sell”-side, in some of the most relevant acquisition transactions (bilateral or through auctions) on the Portuguese market involving private equity funds and private market sponsors (alone and/or in club deals).

On the fund formation front, she has established valuable relationships of mutual trust with some of the most active national and foreign alternative fund managers in the Portuguese market since the inception of the modern regulatory framework on private equity and real estate funds and advises on every regulatory and governance aspect of fund formation, operation and liquidation. She is in regular close contact with the securities regulator.

Fund incorporation and liquidation, structuring of alternative governance arrangements to facilitate outside sponsor involvement (within the context of immigration programs or otherwise), transformation of real estate companies into regulated vehicles and replacement of management entities are just some of the examples of the work performed by Diana in this respect.  

Diana has had an active and significant role in multiple privatization processes in Portugal. In other areas of the capital markets, she has been involved in the structuring of several public offers, from IPOs to tender offers, advising both the offeror companies, as well as the target our issuer ones.

As a lawyer with market recognition, she has publicly advocated for women's career advancement on an equal footing.

Diana was shortlisted for the category “Lawyer of the Year - Private Equity” in the 2020 “Iberian Lawyer – 40 under Forty Award” and also shortlisted for “Lawyer of the Year – Private Equity” in 2020 “Women in Business Law Awards”. 

Winner of the IFLR “Europe Rising Star of the Year” in 2021.
